- Introduction
Please read carefully the following Terms of Use (these “Terms “) that govern your use of NeWawe’s personalized music and other content streaming services, including all of our websites and software applications that incorporate or link to these Terms (collectively, the “NeWawe Service”) and any music,NFT,videos, podcasts or other materials made available through the NeWawe Service (“Content(s)”).
Use of the NeWawe Service may be subject to additional terms and conditions presented by NeWawe, which are incorporated by reference into these Terms.
By registering for or otherwise using the NeWawe Service, you agree to these Terms. If you do not agree to these Terms, you are not permitted to use the NeWawe Service or access any Content.
These Terms are entered into between you and Wave Music Planet S.R.L., hereinafter referred to as NeWawe, located at Str. Episcop Agustín Pacha NR.10, Sad Biroul, NR 7D, Sc.A, Et.1, Timisoara, Romania.
Age and eligibility requirements
In order to use the NeWawe Service and access any content, you must be at least 13 years old (or the equivalent minimum age in your country of residence), have the consent of a parent or guardian, if you are a minor in your country of residence; have the capacity to enter into a binding contract with us and not be prevented from doing so under applicable laws in your country of residence, and (4) reside in a country where the Service is available. You further confirm that all registration information submitted to NeWawe is true, accurate, and complete and agree to follow this policy at all times. If you are a minor in your country of residence, your parent or guardian must enter into these Terms on your behalf. If the user does not meet the minimum age requirements, the user will not be able to register on NeWawe.

NeWawe service options.
We offer many options for the NeWawe service: some are provided free of charge, while others require payment before you can access them (the “Paid Subscriptions”). We may also offer promotional plans, subscriptions, or paid services and events, including third-party product and service offerings. The NeWawe Plus service may not be available to all users. We will explain what services are available to you when you sign up for services
Trial versions
At certain times to test certain products and services , we may offer trial versions of paid subscriptions for a specified period without payment or at a reduced rate (“Trial Version”). By using a NeWawe service through a trial version, you agree to the Terms of the NeWawe Plus promotional offer or the service being tested.
Third-party applications, devices, and open source software.
The NeWawe Service may be integrated or may otherwise interact with third party applications, websites and services (“Third Party Applications”) and personal computers, cell phones, tablets, wearable devices, speakers and other third party devices (“Devices”). Your use of such Third Party Applications and Devices may be subject to additional terms, conditions, and policies provided to you by the relevant third party. NeWawe does not guarantee that third-party applications and Devices will be compatible with the NeWawe Service.
Limitations and Changes to the Service
We use appropriate care and expertise to keep the NeWawe Service operational and to provide users with a personalized and engaging audio, video, and Web 3 experience. However, our service offerings and their availability may change from time to time and are subject to applicable laws in individual states, with no liability to you, for example:
NeWawe services may experience temporary interruptions due to technical difficulties, maintenance, testing, or upgrades, including those necessary to implement changes required by relevant laws and regulatory requirements.
In an effort to continuously develop and improve our Services, we may modify, suspend or discontinue (permanently or temporarily) the provision of the entire NeWawe Service (including specific functions, features, subscription plans and promotional offers).
NeWawe has no obligation to provide specific content through the NeWawe Service, and NeWawe or the affected owners may remove songs, videos, podcasts, and other Content without notice.
If you have Prepaid Fees charged directly to NeWawe for a Paid Subscription and NeWawe terminates your Subscription prior to the end of the Prepaid Period (as defined in the Payments and Cancellation section below), NeWawe will refund the Prepaid Fees for the Prepaid Period for any unused portion of your current Paid Subscription after such termination. In order to receive a refund, your account and billing information must be current.
NeWawe assumes no responsibility to you, nor any obligation to provide a refund to you for interruptions or failures of Internet or other services caused by actions of governmental authorities, third parties, or events beyond its control.
- User’s Use of the NeWawe Service.
Creating a NeWawe Account
To use the NeWawe Service in whole or in part, you may need to create a NeWawe account. Your user name and password are for your personal use only and must be kept confidential. You acknowledge that you are responsible for all uses (including any unauthorized use) of your user name and password. Please notify our Customer Service Department immediately if your username or password is lost or stolen or if you believe unauthorized access to your account has occurred.
Access to the NeWawe Services
Subject to your compliance with these Terms (including any other applicable terms and conditions), you are granted limited, non-exclusive, revocable permission for personal, non-commercial use of the NeWawe Service and Content (collectively, “Access”). This Access will remain in effect until the subscription is terminated by you or NeWawe. You agree not to redistribute or transfer the Service or NeWawe Content to any third party.

Proprietary Rights of NeWawe
The NeWawe Service and Content are the property of NeWawe or NeWawe’s licensors. All trademarks, service marks, trade names, logos, NeWawe domain names and all other NeWawe brand features (“NeWawe Brand Features”) are the exclusive property of NeWawe or its licensors. These Terms do not grant you any right to use the NeWawe Brand Features for commercial or non-commercial use.
You agree to abide by the NeWawe User Guidelines and not to use the NeWawe Service and Content, in whole or in part, in any way not expressly permitted by these Terms.
Payment and Cancellation – Billing
You may purchase a paid subscription directly from NeWawe or through third parties listed in the partner section , in case of purchase from unauthorized third parties Newave is not responsible.
- Prepayment of the subscription rate on a monthly or other recurring interval communicated to the user prior to purchase; or ● Prepayment that allows the user to access the NeWawe Service for a specific period of time (“Prepaid Period”).
Tax rates are calculated based on the information provided and the rate applicable at the time of the monthly charge.
The NeWawe platform allows its users the form of payment in Blockchain through the coins from time to time communicated and added ,in addition to NeWawe’s proprietary currency. (Newa)
It will be possible to use Newa tokens for any type of transaction for the Services that NeWawe offers to its users, subscriptions, NFT, utilities, purchase of Passes. In no way the platform will be aware of the user’s wallet address, who remains solely responsible for it. Any security problems related to the management of the wallet will therefore be the complete responsibility of the owner user.
The platform is in no way responsible for the non-receipt of goods or services related to Web 3 payment methods. The platform urges users to pay attention to the wallet addresses to which they deposit and send Newa tokens to avoid the loss of their assets.
If you purchase access to a Paid Subscription through a third party, your use of the NeWawe Service may be subject to separate terms and conditions in addition to these Terms. By purchasing a Paid Subscription with a code, gift card, prepaid offer, or other offer provided or sold by or on behalf of NeWawe for access to a Paid Subscription (“Codes”), you agree to NeWawe’s Terms and Conditions.
Renewal and Cancellation
With the exception of Paid Subscriptions for a Prepaid Period, the payment to NeWawe, or to the third party through which the Paid Subscription was purchased, will be automatically renewed at the end of the applicable subscription period unless the Paid Subscription is cancelled prior to the end of the current subscription period. Please contact our Customer Support team here for instructions on how to cancel your subscription if you ‘re unable to do so directly from the portal. Cancellation will take effect on the day following the last day of the current subscription period and the user will be
downgraded to the free version of the NeWawe Service. We do not provide refunds or credits for partial subscription periods, except as expressly stated in these Terms.
If you have purchased a paid Subscription with a Code, the Subscription will be automatically terminated at the end of the period stated in the Code or when the prepaid balance is insufficient to pay for the NeWawe Service.
Right of Revocation
If you register for a Trial Period, you agree that your right to cancel the Paid Subscription for which you receive a Trial Period ends fourteen (14) days after the beginning of that period. If you do not cancel your Paid Subscription before the end of the Trial Period, you forfeit your right to cancel and authorize NeWawe to automatically charge you the agreed upon price each month until you cancel your Paid Subscription. For Trial Periods of less than fourteen (14) days, you expressly authorize us to provide you with Paid Service immediately following the end of the Trial Period, agreeing that you will lose your right to cancel from that point.
If you purchase a Paid Subscription without a Trial Period, you agree that you have fourteen (14) days after purchase to withdraw for any reason and pay for the services provided until you notify us that you have changed your mind. You expressly allow us to provide the service to you immediately after the purchase, and you agree to forfeit your right to cancel and authorize NeWawe to automatically charge you the subscription fee each month until you cancel.
User guidelines
We have established guidelines to optimize your use of the NeWawe Service (“NeWawe User Guidelines”). In using the NeWawe Service, you must comply with the Guidelines , as well as all applicable laws, rules and regulations and respect the intellectual property, privacy and other rights of third parties.
Brand Accounts
If you create a NeWawe account on behalf of a company, organization, entity, or brand (a “Brand” and such account a “Brand Account”), the terms “User” and “User’s” as used in these Terms (including other NeWawe terms and conditions incorporated by reference herein) apply to both you and Brand.
By creating a Brand Account, you declare and guarantee that you are authorized to grant all permissions and licenses provided in these Terms (including any other applicable NeWawe terms and conditions) and to bind the Brand to these Terms.
A Brand may follow users and create and share playlists, provided that it does not take any action that implies an endorsement or commercial relationship between the Brand and the user, artist, composer, or any other person being followed, unless the Brand has independently obtained the right to imply such endorsement. In addition, Brands must be transparent with our users regarding the disclosure of any endorsements or considerations provided to artists, composers, users, or other parties, and must comply with all applicable laws, regulations, and codes of conduct when applying the above practices.
Export Controls and Sanctions
NeWawe products may be subject to U.S. export and re-export control laws and regulations or similar laws applicable in other jurisdictions, including the Export Administration Regulations (“EAR”) administered by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department’s Office of Foreign Assets Control (“OFAC”), and the International Traffic in Arms Regulations (“ITAR”) administered by the U.S. Department of State. You guarantee that you are not located in a country on which the United States has placed an imposition of an embargo on goods or has otherwise applied economic sanctions; and that you are not located in a restricted party as specified in applicable export or re-export laws or regulations or similar laws applicable in other jurisdictions or otherwise listed on any U.S. government list of restricted or prohibited parties.
You agree to comply with all applicable export and re-export control laws and regulations, including, without limitation, EARs and trade and economic sanctions administered by OFAC. In particular, you agree not to use, sell, export, re-export, transfer, divert, release or otherwise dispose of any products, software or technologies (including products derived from or based on such technologies) received by NeWawe under these Terms to any destination, entity or person or for any end use prohibited by the EARs and trade and economic sanctions maintained by OFAC, or any applicable laws or regulations of the United States or any other jurisdiction, without obtaining the required prior authorization from the appropriate governmental authorities as required by such laws and regulations.
- Intellectual property rights
User Content
Content posted by the user as part of the Service.
NeWawe users may post, upload or otherwise contribute to the NeWawe Service (“User Content”). For the avoidance of doubt, “User Content” includes all information, materials, and other content that is added, created, uploaded, submitted, distributed, or published by you as part of the NeWawe Service (including the NeWawe Support Community).
The user(artist) is solely responsible for all content posted by him/her.
You confirm that, with respect to any Content posted as part of the NeWawe Service, you own or have the right to post such User Content; such User Content, or its use by NeWawe pursuant to the license granted below, does not: (i) violates these Terms, applicable laws, intellectual property or other third party rights; or (ii) such User Content does not imply any affiliation with or endorsement by NeWawe or any artist, band, label or other individual or entity without the prior written consent of NeWawe or such individual or entity.
In posting or sharing User Content or other information on the NeWawe Service, keep in mind that content and other information will be publicly accessible and may be used and re-shared by other users within the NeWawe Service and on the Web, therefore, you should exercise caution when posting or sharing such Content by checking your account settings. NeWawe is not responsible for what you or other users post or share within the NeWawe Service.
Monitoring of User Content
NeWawe may, but has no obligation to, monitor or review User Content. NeWawe reserves the right to remove or disable access to User Content for any reason or without specific reason. NeWawe may take these actions without notice.
Licenses granted by the user
User Content
You retain the ‘use of the User Content once it is posted as part of the Service. However, in order to make User Content available on the NeWawe Service, a limited license from you is required. Accordingly, you grant NeWawe a non-exclusive, transferable, assignable to third parties, royalty-free, fully paid-up, irrevocable and international license to reproduce, make available, perform and display, translate, modify, create derivative works to distribute and otherwise use such User Content in any medium, whether alone or in combination with other content or materials, in any manner and by any means, method or technology, whether now known or hereafter created, in connection with the NeWawe Service. Where applicable, and to the extent permitted by applicable law, you further agree to waive and not enforce any “moral rights” or equivalent rights, such as your rights to be identified as the author of any User Content, including feedback, and your right to object to derogatory treatment of such Content.
Feedback
If you provide ideas, suggestions or other comments in connection with your use of the NeWawe Service or any content (“Feedback”), such feedback is not reserved and may be used by NeWawe without limitation and without payment. Feedback is considered a type of User Content under these Terms.
User Device
You also grant us the right to allow the NeWawe Service to use the processor, bandwidth, and storage hardware on your device to facilitate the operation of the NeWawe Service, to provide advertising and other information to you to enable our business partners to do the same, as granted in accordance with NeWawe’s Privacy Policy.
Content Experience
In any part of the NeWawe Service, the Content you access, including selection and placement, may be affected by commercial considerations, including NeWawe’s agreements with third parties.
Some Content licensed by, provided to, created by, or otherwise made available by NeWawe (e.g., podcasts) may incorporate advertisements, for which NeWawe is not responsible.
Infringement Claims
NeWawe respects the rights of intellectual property owners. If you believe that any Content violates your copyright rights, you may consult NeWawe’s Copyright Notice.
Artists who post content that exceeds 10,000 unique views will be contacted by Newave’s commercial department to stipulate a commercial contract.

- Issues and Disputes
Suspension and closure of NeWawe services
These Terms will continue to apply until terminated by you or by NeWawe. NeWawe may terminate these Terms (including any additional terms and conditions incorporated herein) or suspend your access to the NeWawe Service at any time if we believe that you have violated any of these Terms, if we stop providing the Service NeWawe or any of its component materials upon reasonable notice to you or as deemed necessary to comply with applicable law. If you or NeWawe terminate these Terms or if NeWawe suspends your access to the NeWawe Service, you agree that NeWawe, subject to applicable law, shall have no liability to you, and (unless as expressly provided for in these Terms) NeWawe will not refund the amounts already paid by the user. You may terminate these Terms at any time, in which case you may not continue to access or use the NeWawe Service. For information on how to close your NeWawe account, please use the customer support resources available on our About Us page.
The sections : 2 (The NeWawe Service provided by us), 3 (Use of the NeWawe Service by the user), 4 (Content and intellectual property rights), 6 (Problems and disputes), 7 (About these Terms ), as well as any other sections of these Terms which, explicitly or by their nature, must continue in effect after the termination of these Terms, will survive termination.
Warranty Disclaimers
NeWawe will provide the Service with reasonable care and skill and in accordance with any specification of the NeWawe Service provided by Wave Music Planet S.R.L.; however, as a result, the NeWawe Service is provided “as is” and “as available”, without any warranty of any kind, express, implied or legal. Furthermore, NeWawe and all content owners make no claims for any express, implied, or statutory warranty regarding the content, including warranties of satisfactory quality, merchantability, fitness for a particular purpose, or non-infringement. Neither NeWawe nor any content owner warrants that the Service or NeWawe content is free of malware or other harmful components. Further, NeWawe makes no representations regarding, warrants, or assumes any liability for any third-party applications (or their content), user content, devices, or any products or services advertised, promoted, or offered by any third-party on or through the NeWawe Service. or any website with hyperlinks. NeWawe is not responsible for any transactions between you and third party providers related to the above. No advice or information, whether oral or written, obtained from NeWawe shall create any warranty on behalf of NeWawe. While using the NeWawe Service, you may have access to explicit content filtering features, but using such features may still ensure the delivery of explicit content and you should not rely on such features to filter all explicit content. This section applies to the maximum extent permitted by applicable law.
Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights as a consumer, so the exclusions and limitations in this section may not apply to you, so nothing will affect your statutory rights.
Limitation of Liability and Time to Submit a Claim
Subject to applicable law, you agree that your sole and exclusive remedy for any problems or dissatisfaction with the NeWawe Service is to uninstall any NeWawe software and discontinue using the NeWawe Service. You agree that NeWawe has no obligation or liability arising from or related to third party applications or related content made available through or in connection with the NeWawe Service. While your dealings with such third party applications may be governed by separate agreements, your sole and exclusive remedy, as regards NeWawe, for any problems or dissatisfaction with the third party applications or their content is to uninstall or stop using such third-party applications.
**In no event shall NeWawe, its officers, shareholders, employees, agents, directors, subsidiaries, affiliates, successors, assigns, suppliers or licensors be liable for any indirect, special, incidental, punitive, exemplary or consequential damages; any loss of use, data, business or profits (direct or indirect), in all cases arising from the use or inability to use the NeWawe Service, devices, third party applications or their contents; or aggregate liability for all claims relating to the NeWawe Service, Third Party Applications or Third Party Application content.
For the avoidance of doubt, these terms do not limit NeWawe’s liability for fraud, misrepresentation, death or personal injury to the extent applicable law prohibits such limitation and any other liability which, under applicable law, cannot be limited or excluded.
Third Party Rights
You acknowledge and agree that the Content owners and certain distributors are recipients of these Terms and have the right to enforce these Terms directly against you. Other than as set forth in this section, these Terms are not intended to grant rights to anyone other than you and NeWawe, and in no event shall these Terms create rights of third party beneficiaries.
Governing Law, Mandatory Arbitration, and Venue
6.1 Governing Law/Jurisdiction
Except as otherwise required by the mandatory laws of the country in which you reside, the agreements (and any tort disputes/claims arising out of or in connection with them) are subject to the laws of the state or country listed below, without regard to the choice or conflicts of the principles of law.
Furthermore, you and NeWawe accept the jurisdiction of the courts listed below to resolve any dispute, claim or controversy that arises in connection with the Agreements (and any non-contractual disputes/claims arising out of or in connection with them). Except where required by applicable mandatory laws, you may choose to initiate legal proceedings in your country of residence or we may initiate legal proceedings only in your country of residence.
6.2 CLASS ACTION WAIVER
WHERE PERMITTED BY APPLICABLE LAW, YOU AND NeWawe AGREE TO BRING CLAIMS AGAINST THE OTHER PARTY ONLY IN YOUR PERSONAL CAPACITY AND NOT AS A PLAINTIFF OR A CLASS MEMBER IN ANY ALLEGED CLASS ACTION OR REPRESENTATION. Unless you and NeWawe agree, no arbitrator or judge may consolidate claims of more than one person or otherwise preside over any form of representative or collective proceeding.
6.3 ARBITRATION
If you reside in, are based in, have offices located in, or conduct business in a jurisdiction where this Section 6.3. is applicable, the following mandatory arbitration provisions apply to you:
6.3.1 Dispute Resolution and Arbitration
You and NeWawe agree that any complaint, demand or dispute between you and NeWawe arising out of or relating in any way to these Agreements or your relationship with NeWawe as a user of the Service (whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory and whether claims arise during or after termination of the Agreements) will be determined by mandatory binding individual arbitration. Arbitration is more informal than a court case. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION IS LIMITED. Discovery can be more limited than in a court of law. The arbitrator must follow this agreement and can award the same damages and remedies as a court (including attorneys’ fees), except that the arbitrator may not award declaratory or injunctive relief for the benefit of anyone except the parties to the arbitration . This arbitration provision will survive termination of the Agreements.
6.3.2 Exceptions
Notwithstanding clause 6.3.1 above, you and NeWawe agree that nothing herein shall be deemed to waive, exclude or otherwise limit any of our rights, at any time, to bring any individual action in small claims court, pursue enforcement actions through applicable federal, state, or local agencies where such actions are available, seek injunctive relief in a court, or (4) bring a lawsuit in a court of law to address intellectual property infringement claims.
6.3.3 Arbitration Rules
Arbitration proceedings may be initiated by us or by you. Any arbitration between you and NeWawe shall be finally settled under the Arbitration Rules of the International Chamber of Commerce (the “ICC”) in force (the “ICC Rules”) by one or more arbitrators appointed in accordance with the rules ICC, as modified by these Agreements, and will be administered by the International Court of Arbitration of the ICC.
Any arbitration will be conducted in the English language and, unless otherwise required by mandatory law of a Member State of the European Union or any other jurisdiction, the law to apply in any arbitration is the law of the [relevant state or country described in the clause 6.1], regardless of choice or conflicts of law principles.
6.3.4 Storage time
Any arbitration must be initiated by filing a demand for arbitration within ONE YEAR of the date the party asserting the claim knows, or reasonably should know, of the act, omission or default giving rise to the claim; therefore, there will be no right to any remedy for any claim not asserted within such time period. If applicable law prohibits a one-year limitation period for asserting claims, any claim must be asserted within the shortest time period permitted by applicable law.
6.3.5 Notification; process
A party who intends to seek arbitration must first send written notice of the claim to the other party by certified mail or Federal Express (signature required), or if we do not have a physical address on file for you, by mail electronic (“Notification”). The Notice must describe the nature and basis of the claim or dispute; and indicate the specific remedy requested (“Claim”). We agree to use good faith efforts to resolve the claim directly, but if no agreement is reached within 30 days of receipt of the Notice, you or NeWawe may initiate arbitration. During the arbitration, the amount of any offer to terminate by you or NeWawe will not be disclosed to the arbitrator until the arbitrator has made a final decision and any award. In the event that our dispute is finally resolved between
mild arbitration in favor of the user, NeWawe will pay the user the amount, if any, awarded by the arbitrator, the amount of the last written resolution offered by NeWawe for the resolution of the dispute before the arbitral award; or US $1,000, whichever is greater. All documents and information disclosed in the course of the arbitration must be kept strictly confidential by the recipient and must not be used by the recipient for any purpose other than to arbitrate or enforce the arbitrator’s decision and award or disclosed, except via confidential, to persons who need to be disclosed for such purposes or as required by applicable law. Except as required to enforce the arbitrator’s decision and award, neither you nor NeWawe shall make any public announcements or comments or post any advertisements relating to the arbitration, including, without limitation, whether the parties are in dispute, the existence of arbitration, or any decision or award of the arbitrator.
6.3.6 Changes
In the event that NeWawe makes any future changes to this arbitration provision (other than a change of NeWawe’s notification address), you may refuse such change by notifying us in writing within 30 days of the change to NeWawe’s notification address , in which event, your account with NeWawe will be immediately terminated and this arbitration provision, as in effect immediately prior to the rejected changes, will survive.
6.3.7 Applicability
If the class action waiver set forth in Section 6.2 is held unenforceable in the arbitration or if any part of this Section 6.3 is found to be invalid or unenforceable, then the entirety of this Section 6.3 will be invalid and void, so in such case, The parties agree that the exclusive jurisdiction and venue described in Section 6.1 will govern any action arising out of or related to the Agreements and you will not be prevented from bringing a proceeding at any time.
- About these Terms
Under applicable law, you may have certain rights that cannot be limited by contract. These terms are not intended to limit these rights in any way.
Changes
We may periodically make changes to these Terms (including any additional terms and conditions of NeWawe incorporated by reference herein) to reflect circumstances such as changes in product offerings and features, changes in business or changes in the economic environment or for reasons of safety, legal or regulatory. We will notify you of changes at least 30 days in advance by any reasonable means, including by posting the amended agreement applicable to the NeWawe Service (provided that, in the event of material changes, such notice will be supplemented by a notice by email, a message
service-internal popup or other means). Other than as set forth in this section or as explicitly agreed to in writing between you and NeWawe, these Terms constitute all terms and conditions agreed to between you and NeWawe and supersede any prior agreements relating to the subject matter of these Terms, both written and oral. As indicated above, other terms and conditions governing the use of the NeWawe Service are incorporated herein by reference, including the following terms and conditions: the NeWawe Plus Promotional Offer Terms; the NeWawe Terms; NeWawe user guidelines; the NeWawe Copyright Policy; and the NeWawe Support Community Terms.
Severability and Waiver
Unless otherwise specified in these Terms, if any provision of these Terms is held to be invalid or unenforceable for any reason or to any extent, the remaining provisions of these Terms will not be affected and enforcement of such provision will be enforced to the extent permissible by the law.
Any failure by NeWawe or any third party beneficiary to enforce these Terms or any provision thereof shall not waive NeWawe’s or the applicable third party beneficiary’s right to do so.
